Ainsi, la transmission d\u2019une entreprise constituera l\u2019une de ces \u00e9tapes et demeurera fondamentale. Celle-ci pourra se produire tout simplement \u00e0 travers une vente mais \u00e9galement comme cons\u00e9quence du d\u00e9c\u00e8s du chef d\u2019entreprise.<!--moreLa transmission d\u2019entreprises en Espagne--><\/p>\n<p style=\"text-align: justify;\">Cela \u00e9tant, lorsqu\u2019est envisag\u00e9e la transmission d\u2019entreprises, plusieurs aspects devront \u00eatre observ\u00e9s dont celui, notamment, de la situation des salari\u00e9s.<\/p>\n<h2 style=\"text-align: justify;\">Dans ce sens, quelles garanties sociales doivent \u00eatre respect\u00e9es dans la transmission d\u2019entreprises en Espagne\u00a0?<\/h2>\n<p style=\"text-align: justify;\">Selon l\u2019article 44 du Statut des Travaillerus (code du travail espagnol), la succession d\u2019entreprises suppose le <em><span style=\"color: #000080;\">changement de titularit\u00e9 d\u2019une entreprise, d\u2019un centre de travail ou d\u2019une unit\u00e9 productive lorsque la transmission affecte une entit\u00e9 \u00e9conomique qui maintient son identit\u00e9, entendue comme un ensemble de moyens organis\u00e9s dans le but de mettre en place une activit\u00e9 \u00e9conomique, essentielle ou accessoire<\/span><\/em>.<\/p>\n<p style=\"text-align: justify;\">De cette d\u00e9finition peuvent \u00eatre tir\u00e9s deux aspects: tout d\u2019abord qu\u2019il doit y avoir un changement de titularit\u00e9 de l\u2019entreprise mais \u00e9galement que l\u2019activit\u00e9 \u00e9conomique devra \u00eatre maintenue.<\/p>\n<p style=\"text-align: justify;\">Ainsi, les \u00e9l\u00e9ments productifs devront \u00eatre transmis, cela supposant, de mani\u00e8re g\u00e9n\u00e9rale, ceux n\u00e9cessaires afin que l\u2019activit\u00e9 soit maintenue. Le Tribunal Supr\u00eame espagnol consid\u00e8re dans ce sens, et cela \u00e0 travers d\u2019une jurisprudence constante depuis un arr\u00eat du 19 mars 2002, que doivent \u00eatre pr\u00e9sents deux \u00e9l\u00e9ments\u00a0:<\/p>\n<ul style=\"text-align: justify;\">\n<li>La substitution d\u2019un chef d\u2019entreprise par un autre, sans que soit n\u00e9cessaire l\u2018existence de relations contractuelles entre les deux car la cession pourra avoir lieu \u00e0 travers un tiers<\/li>\n<li>La transmission effective des \u00e9l\u00e9ments permettant la continuation de l\u2019activit\u00e9 de la soci\u00e9t\u00e9<\/li>\n<\/ul>\n<p style=\"text-align: justify;\">Lorsqu\u2019aura lieu la transmission d\u2019entreprises, il sera n\u00e9cessaire que l\u2019acqu\u00e9reur respecte tous les droits ainsi que les engagements qu\u2019auraient pu avoir les salari\u00e9s avec le pr\u00e9c\u00e9dent employeur.<\/p>\n<p style=\"text-align: justify;\">Des obligations devront \u00e9galement \u00eatre assur\u00e9es par le c\u00e9dant telles que celles d\u2019informer de la date pr\u00e9vue de succession effective, des motifs de la cession ainsi que des mesures et cons\u00e9quences qui affecteront les salari\u00e9s. Ces d\u00e9marches s\u2019effectueront \u00e0 travers les repr\u00e9sentants des salari\u00e9s ou en s\u2019entretenant directement avec les salari\u00e9s si ces repr\u00e9sentants n\u2019existaient pas dans la soci\u00e9t\u00e9 concern\u00e9e.<\/p>\n<p style=\"text-align: justify;\">Concernant les d\u00e9lais d\u2019information, la soci\u00e9t\u00e9 c\u00e9dante se devra de consulter la convention afin de d\u00e9terminer s\u2019il y a eu un pacte dans ce sens. Il lui sera \u00e9galement n\u00e9cessaire de mettre en place une p\u00e9riode de consultations si le c\u00e9dant ou l\u2019acqu\u00e9reur pr\u00e9tendent r\u00e9aliser des modifications concernant les conditions salariales.<\/p>\n<p style=\"text-align: justify;\">En outre, la convention collective sera toujours la m\u00eame, sauf s\u2019il y avait eu un pacte disposant le contraire, \u00e0 travers un accord soci\u00e9taire entre le nouveau chef d\u2019entreprise et les repr\u00e9sentants des salari\u00e9s. Ces repr\u00e9sentants des salari\u00e9s devront, de plus, pouvoir poursuivre leur activit\u00e9 au sein de la soci\u00e9t\u00e9 selon les m\u00eames conditions que celles existantes avant la cession.<\/p>\n<p style=\"text-align: justify;\">Il est \u00e9galement important de noter que l\u2019article 44.3 de l\u2019 Estatuto de los Trabajadores dispose que, sans pr\u00e9judice de ce qu\u2019\u00e9nonce la l\u00e9gislation concernant la S\u00e9curit\u00e9 Sociale, le c\u00e9dant et le acqu\u00e9reur dans les transmissions d\u2019entreprises inter vivos r\u00e9pondront solidairement durant trois ann\u00e9es des obligations salariales n\u00e9es avant la transmission qui n\u2019auraient pas \u00e9t\u00e9 satisfaites.<\/p>\n<p style=\"text-align: justify;\">La transmission doit donc se r\u00e9aliser avec une large pr\u00e9paration en amont afin de garantir un avenir serein \u00e0 l\u2019entreprise concern\u00e9e.
